Terms of Service
These Terms govern access to and use of the PerkPass platform: the public website, the admin panel, the mobile app for owners and staff, the public registration pages, and the loyalty passes for Apple Wallet and Google Wallet.
1. Identity and scope
The PerkPass platform (the "Service") is operated by WASABI S.R.L. DE C.V., a Honduran software development company ("we", "us"). The Service lets businesses (the "business") create and run digital loyalty programs for their customers.
End customers participate in programs configured and operated by each business. The commercial rules of each program (rewards, conditions, validity, and exclusions) are defined by the corresponding business.
2. Acceptance
By creating an account, signing in, or using any part of the Service, you confirm that you have read and accepted these Terms and the Privacy Policy. If you do not agree, please do not use the Service.
3. Accounts and access
Admin panel accounts are intended for the owners and authorized staff of each business. You are responsible for keeping your credentials confidential and for activity performed with your account, and you must notify us promptly of any unauthorized use you become aware of.
4. Plans, pricing, and billing
The Service is offered through plans with different features and limits, described on the pricing page. Some plans include free trial periods, whose duration is indicated at signup. The current standard trial period is 14 days.
Published prices are final. In Honduras, I.S.V. is already included in the list price.
Monthly plans are charged at the current published monthly price. Annual plans are prepaid in a single payment equal to ten (10) monthly payments in exchange for twelve (12) months of service, approximately 16.7% off the twelve-month list price.
Payment methods and renewal terms are handled with each business through our commercial channels.
5. Cancellation and subscription term
Cancelling a subscription prevents renewal for the next billing period; it does not immediately close the account or interrupt service that has already been paid for. The business retains normal access to the Service, with all the features of its plan, through the end of the period already paid for.
On annual plans, the business prepays twelve (12) months of service at the promotional annual rate. Cancellation stops the next renewal, and service continues normally until the end of the twelve months already paid for.
When the paid-through period ends without a plan being contracted or renewed, access may transition to a limited offboarding state, focused on reviewing the business's information and obtaining a copy of its records, rather than continuing as full service. The applicable timelines and process are communicated through our official channels.
6. Business responsibilities
The business is responsible for the commercial decisions of its program: the rewards it offers and their actual delivery, the rules and conditions it communicates to its customers, the content of the announcements it sends, and the lawfulness of the information it requests and handles through the platform.
The business agrees to use its customers' data in accordance with applicable law and to handle requests those customers direct to it about their information.
7. Loyalty programs and rewards
PerkPass is the technology tool for operating the program: member registration, stamps and points, rewards, redemptions, and wallet passes. Obligations toward end customers arising from the program (for example, honoring an unlocked reward) belong to the business.
8. Permitted use
You agree to use the Service in accordance with the law and these Terms. The following are prohibited: attempting to access unauthorized data or areas, interfering with the security or operation of the Service, improper reverse engineering, uploading malicious code, using the Service to send unlawful or unauthorized communications, or infringing the rights of third parties.
9. Third-party wallet platforms
Loyalty passes are delivered through Apple Wallet and Google Wallet, platforms operated by Apple and Google under their own terms and policies. We do not control those platforms, and their availability or behavior may change at their operators' discretion.
10. Personal data
How personal data is handled is described in the Privacy Policy. The use of cookies in the admin panel is described in the Cookies Policy.
11. Business data and portability
The business retains control over the business records and loyalty-program data it provides or generates through the Service: for example, program configuration, member lists, points or stamp balances, transactions, configured rewards, and recorded redemptions. Storing that information on the platform does not transfer ownership of it to PerkPass.
This does not eliminate or replace the privacy rights of individual loyalty members over their personal data. The business may request a copy of its business and loyalty-program records through our official contact channels, subject to the Service's applicable export and offboarding process. This provision does not grant the business any rights over the platform's software, schemas, infrastructure, or intellectual property.
12. Availability and changes to the Service
The Service is provided subject to technical availability. Interruptions may occur due to maintenance, updates, or causes beyond our reasonable control. We do not guarantee uninterrupted or error-free operation. Service features may evolve over time.
13. Suspension and termination
We may suspend or limit access to accounts that breach these Terms or applicable law. Access may also be limited when a trial period ends without a plan being contracted, in line with how the product operates. The end of a paid subscription is governed by the “Cancellation and subscription term” section.
14. Intellectual property
The PerkPass brand, software, designs, and content of the Service belong to their owners or licensors. No licenses are granted beyond the use necessary to operate the Service under these Terms. The trademarks, logos, and content each business uploads to the platform remain the property of their respective owners.
15. Limitation of liability
To the maximum extent permitted by applicable law, the Service is provided “as is”. We will not be liable for indirect damages, lost profits, data loss, or harm arising from the use of, or inability to use, the Service, except in cases that the law does not allow to be excluded.
16. Governing law
These Terms are governed by the laws of the Republic of Honduras, without prejudice to mandatory rules of other jurisdictions where applicable.
17. Changes
We may update these Terms. The date of the latest change is published on this page. Continued use after relevant changes implies acceptance of the current version, unless the law provides otherwise.
